Terms of Service

These Terms of Service ("Terms") govern your access to and use of Deal Maestro, a product of Maestroverse Inc. ("Maestroverse," "we," "us," or "our"). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. The Service

Deal Maestro is a subscription-based software platform designed to help creative professionals create, manage, and organize work agreements with their clients. The Service is intended for individuals aged 18 and older.

2. Account Registration

To use the Service, you must create an account. You agree to:

• Provide accurate and complete information during registration
• Keep your login credentials secure and confidential
• Notify us immediately at [email protected] if you suspect unauthorized access to your account

You are responsible for all activity that occurs under your account.

3. Subscriptions & Billing

3.1 Free Trial

We offer a 14-day free trial for new users. You will not be charged during the trial period. You may cancel at any time during the trial without incurring any charges. If you do not cancel before the trial ends, your subscription will automatically begin and your payment method will be charged.

3.2 Paid Subscriptions

After the free trial, access to the Service requires a paid subscription. Subscriptions are billed in advance on a recurring basis (monthly or annually, depending on your chosen plan). All prices are in US Dollars (USD).

3.3 Automatic Renewal

Your subscription will automatically renew at the end of each billing cycle unless you cancel before the renewal date. You authorize us to charge your payment method on file for each renewal period.

3.4 Payment Processing

All payments are processed securely by Stripe, Inc. We do not store your credit card or payment details on our servers. By providing payment information, you also agree to Stripe's Terms of Service.

4. Refund Policy

4.1 Free Trial Cancellations

If you cancel during your 14-day free trial, you will not be charged and no refund is necessary.

4.2 Monthly Subscriptions

If you are charged for a monthly subscription and wish to cancel, you may request a full refund within 7 days of the charge by emailing [email protected]. After 7 days, no refund will be issued for the current billing period, but your cancellation will take effect at the end of the current billing cycle and you will retain access until then.

4.3 Annual Subscriptions

If you are charged for an annual subscription and wish to cancel, you may request a full refund within 7 days of the charge by emailing [email protected]. After 7 days, your cancellation will take effect at the end of the current calendar month, and you will be refunded a pro-rated amount equal to the value of the remaining full unused months in your subscription period.

4.4 How to Request a Refund

To request a refund, email [email protected] with the subject line "Refund Request" and include your account email address and reason for cancellation. We will process eligible refunds within 5–10 business days to your original payment method.

4.5 Termination for Cause

If we terminate your account due to a violation of these Terms, you will not be entitled to a refund for any unused portion of your subscription period.

4.6 Discretionary Refunds

We reserve the right to offer refunds outside of this policy at our sole discretion on a case-by-case basis. Doing so in one instance does not obligate us to do so in any future instance.

5. Acceptable Use

You agree not to use the Service to:

• Violate any applicable law or regulation
• Infringe on the intellectual property rights of others
• Upload or transmit malicious code, viruses, or harmful content
• Attempt to gain unauthorized access to any part of the Service or its infrastructure
• Use the Service for any fraudulent, deceptive, or abusive purpose
• Resell or sublicense the Service without our written permission

We reserve the right to suspend or terminate your account for any violation of this section.

6. Your Content

You retain full ownership of any data, content, or agreements you create or upload within the Service ("Your Content"). By using the Service, you grant us a limited, non-exclusive license to store and process Your Content solely for the purpose of providing the Service to you.

7. Intellectual Property

All intellectual property in the Service — including the Maestroverse name, Deal Maestro name, logo, software, and design — is owned by Maestroverse Inc. and protected by applicable copyright, trademark, and other laws. You may not copy, modify, distribute, or create derivative works based on the Service without our prior written consent.

8. Disclaimer of Warranties

The Service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components.

9. Limitation of Liability

To the maximum extent permitted by law, Maestroverse Inc. and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising out of or related to your use of the Service, even if we have been advised of the possibility of such damages. Our total liability to you for any claims arising under these Terms shall not exceed the amount you paid us in the 3 months preceding the claim.

10. Indemnification

You agree to indemnify and hold harmless Maestroverse Inc. and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Service, Your Content, or your violation of these Terms.

11. Termination

You may cancel your account at any time through your account settings or by contacting us at [email protected]. We may suspend or terminate your access to the Service at any time, with or without notice, if we believe you have violated these Terms or for any other reason at our sole discretion. Upon termination, your right to use the Service ceases immediately.

12. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict of law principles. Any disputes arising out of or relating to these Terms or the Service shall be resolved exclusively in the state or federal courts located in Delaware, and you consent to the personal jurisdiction of such courts.

13. Changes to These Terms

We may update these Terms from time to time. When we do, we will notify you by email and update the effective date above. Your continued use of the Service after the updated Terms are posted constitutes your acceptance of the revised Terms.
